Introduction

1. TechEase Solutions Pvt Ltd. (“TechEase”, “we”, “us”, “our”) provides software services to our clients and partners. The following terms and conditions govern the use of our services and website.

Services

1. We provide software services, including but not limited to development, consulting, and support. The scope of services will be agreed upon with each client or partner and outlined in a separate agreement or contract.

Payment

1. Payment terms and conditions will be agreed upon with each client or partner and outlined in a separate agreement or contract. We reserve the right to discontinue services if payment is not received in a timely manner.

Confidentiality

1. We will maintain the confidentiality of all confidential information disclosed by our clients and partners, as outlined in a separate non-disclosure agreement or as required by law.

Intellectual Property

1. All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, developed by TechEase as part of the services will belong to TechEase. Our clients and partners may have limited use rights as outlined in a separate agreement or contract.

Warranty

1. We warrant that the services provided will be performed in a professional and workmanlike manner. Our liability for any damages arising from or related to the services provided will be limited to the amounts paid by the client or partner for the services.

Limitation of Liability

1. In no event will TechEase be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of data, or interruption of business.

Indemnification

1. Our clients and partners agree to indemnify and hold harmless TechEase and its employees from any third-party claims arising from or related to the services provided.

Dispute Resolution

1. Any disputes arising from or related to the services provided or this agreement will be resolved through binding arbitration.

Governing Law

1. This agreement will be governed by and construed in accordance with the laws of the Software Export Law without giving effect to any principles of conflicts of law.

Entire Agreement

1. This agreement constitutes the entire agreement between TechEase and our clients and partners, and supersedes all prior agreements and understandings, whether written or oral, relating to the services provided.

Severability

1. If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Amendments

1. This agreement may not be amended except in writing signed by both TechEase and the client or partner.

Assignment

1. This agreement may not be assigned by either party without the prior written consent of the other party.
